Basics
What is a Wyoming LLC?
LLC means limited liability company. It is a business that is legally separate from you. Wyoming is one of the most popular US states for forming one.
Why do people choose Wyoming?
Wyoming has no state income tax, low yearly state costs, and strong privacy and asset protection laws for owners.
Do I need to live in the US to form a Wyoming LLC?
No. Many owners live in other countries. You only need a registered agent with a real street address in Wyoming.
Do I need to be a US citizen?
No. Citizenship is not required to own a Wyoming LLC.
What is the difference between an LLC and a corporation?
Both keep your personal life separate from the business. An LLC is simpler and has fewer formalities. A corporation has shares and more rules. A lawyer or tax professional can tell you which one fits you best.
Can I form other types of companies in Wyoming?
Yes. Wyoming also has corporations, nonprofits, limited partnerships and more. LLCs, corporations and limited partnerships can file online. Other types must file on paper.
Does an LLC protect my personal money?
Usually yes. An LLC keeps your personal assets apart from the company's debts, as long as you run it properly and keep business and personal money separate.
Does a US company give me a visa or US residency?
No. A company does not give you a visa, residency or a work permit. It can give you a business reason to visit, such as meetings or trade shows, but the US government decides every visa.
Name, agent and address
How do I choose a company name?
Pick a name, then search to see if it is available. Read the state's name tips before you file. A good name search helps you avoid extra paperwork and fees later.
Can I use any name I like?
No. Your name must be different from names already registered in Wyoming and must follow the state's naming rules.
What is a registered agent?
A registered agent is a person or company that receives legal papers for your business in Wyoming.
Do I need a registered agent?
Yes. Every business filed in Wyoming must always have one. If you do not keep a registered agent, the company can be dissolved or revoked.
Can I be my own registered agent?
Only if you are 18 or older, live in Wyoming and have a physical Wyoming address. Most owners who live abroad hire a registered agent company.
Can a PO box be the registered agent address?
No. It must be a real street address in Wyoming. PO boxes, drop boxes, mail forwarding services and UPS stores are not allowed.
What does a registered agent do?
The agent receives lawsuit papers and official notices for you. The agent also keeps on file the names of your key people and a contact person, so the state or law enforcement can reach your business if needed.
Can I change my registered agent later?
Yes. You file the "Appointment of New Registered Agent and Office" form with the Wyoming Secretary of State. It must be signed and mailed with the fee.
Filing your company
What are the Articles of Organization?
This is the paper that creates your LLC. You file it with the Wyoming Secretary of State.
Can I file online?
Yes, for LLCs, corporations and limited partnerships. Other company types must file a paper form.
How much does Wyoming charge to form a company?
Most formations cost $100 at the Wyoming Secretary of State. Nonprofits pay $50 and statutory foundations pay $250.
How do I pay the state fee?
Online, you pay with a Visa or MasterCard credit or debit card, and a small convenience fee is added. On paper, you send a check or money order to the Wyoming Secretary of State.
How long does it take?
Online filings are active as soon as you finish. Paper filings are handled in the order received and take up to 15 business days.
What papers do I get after filing?
You get a copy of your filing, your certificate and a receipt. Paper filers get them by email. Online filers download them after paying.
Is my filing public?
Yes. Everything filed with the Secretary of State is public record, including signatures. Do not put private information on the form.
What is the registered agent consent form?
It is a form called "Consent to Appointment by Registered Agent". The agent signs it and it goes with your new filing. Online filers confirm they have it and keep a copy.
Tax ID, taxes and banking
What is an EIN?
EIN stands for Employer Identification Number. It is your company's tax ID number, and the IRS issues it for free.
Do I need an EIN?
Almost always. Banks, payment services and tax filings ask for it.
Can I get an EIN without a Social Security number?
Yes. You do not need an SSN or ITIN. Owners outside the US usually apply with IRS Form SS-4 by fax, mail or the IRS international phone line, because the online form asks for an SSN or ITIN.
What is the "responsible party" on the EIN form?
It is the real person who owns or controls the company. For an LLC with one owner, that is usually the owner.
Does my Wyoming LLC pay US taxes?
Wyoming has no state income tax, but US federal tax rules can still apply to you and your LLC. Talk to a US tax professional about your own case.
What is Form 5472?
It is a yearly IRS form. An LLC with one foreign owner must send it, together with a simple Form 1120 cover page. It lists money and deals between you and your LLC.
What happens if I forget Form 5472?
The IRS penalty is $25,000 per form, even if the company earned nothing. Put it in your calendar every year.
Can I open a US bank account?
Often yes, using your EIN, formation papers and ID. Each bank has its own rules and makes its own decision.
Can I use Stripe and PayPal with a US LLC?
Many LLC owners can. You usually need an EIN, a US bank account and an ID check. Each provider decides who it accepts.
Can I get a US business card to pay for ads?
Some banks and financial apps give business cards to LLCs. The card company decides whether to approve you.
Do I need a US phone number and address?
Many banks and apps ask for them when you sign up. A US business address and phone number make this easier.
Staying in good standing
What is an annual report?
It is a short yearly filing. It keeps your contact details up to date and keeps your company active.
When is the annual report due?
Every year on the first day of the month your company was formed. Your first one comes the year after you form the company.
How much does the annual report cost?
At least $60, based on the value of your assets located in Wyoming. Many small LLCs with no Wyoming property pay the $60 minimum. Check the Secretary of State website for the current fee.
What if I miss the annual report?
Wyoming can dissolve (shut down) your LLC if the report is more than 60 days late. This is a common reason LLCs are closed, so do not skip it.
Do I have to report my owners to FinCEN?
No, not for companies formed in the US. In August 2026 FinCEN finalized a rule that exempts US companies and US persons from owner reporting. Rules can change, so check fincen.gov/boi.
Do I need a business license?
Wyoming has no single license for all businesses. Some cities, counties and industries need permits. Ask your local county or city clerk.
Do I have to collect sales tax?
Maybe, if you sell taxable goods or services in Wyoming. Ask the Wyoming Department of Revenue at 307-777-5200 or revenue.wyo.gov.
Do I need workers' compensation or unemployment insurance?
Only if you hire employees in Wyoming. Ask the Wyoming Department of Workforce Services at 307-777-8650 or dws.wyo.gov.
Do I need an Operating Agreement?
It is strongly recommended. It sets out who owns the LLC and how it is run, and banks often ask to see one.
